These terms govern your use of Clark, including how our AI agent acts on your behalf, what content you and Clark Labs own, the limits of our liability, and how disputes are resolved. Please read them carefully.

Acceptance of Terms
By creating an account, accessing, or using Clark (the "Services"), you agree to be bound by these Terms of Use (the "Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Services.

Eligibility
You must be at least 18 years old, or the minimum age required to consent to the use of online services in your jurisdiction, whichever is higher. By using the Services, you represent that you meet this requirement and that the information you provide is accurate, complete, and current.

The Services
Clark is an AI-powered agent that can browse the web, execute code in sandboxed environments, perform research, and take actions on your behalf. You acknowledge that outputs generated by the AI may not always be accurate and may contain material inaccuracies even when they appear detailed or specific; you are responsible for reviewing and verifying all outputs before relying on them; and the Services should not be used as a sole basis for decisions in legal, financial, medical, or other high-stakes domains without independent professional review.

Agent Actions & Third-Party Services
Clark may access third-party websites, services, and platforms on your behalf based on your instructions. You are solely responsible for ensuring you have the right to authorize Clark to act on any third-party service; any consequences arising from actions Clark takes on third-party services at your direction, including form submissions, purchases, account changes, or data retrieval; and compliance with the terms of service of any third-party platform accessed through Clark. Clark Labs Inc does not endorse, control, or assume responsibility for any third-party service, its content, or its availability.

Account Credentials & Access
If you provide Clark with credentials or access to your accounts on third-party services, you do so at your own risk. You are responsible for maintaining the security of your Clark account and any credentials you share. Clark Labs Inc is not liable for unauthorized access to your accounts or any actions taken using credentials you provided. You should never share credentials for accounts you do not own or have authorization to use.

Content Ownership & Intellectual Property
You retain ownership of the inputs you submit to the Services ("Input"). Subject to your compliance with these Terms, Clark Labs Inc assigns to you all right, title, and interest in the outputs generated by the Services in response to your Input ("Output"). Due to the nature of AI systems, outputs may not be unique, and other users may receive similar or identical output. All other content, features, trademarks, logos, and intellectual property comprising the Services are and remain the exclusive property of Clark Labs Inc.

Use of Your Content
Clark Labs Inc may use your Input and Output to provide, maintain, and improve the Services, including to train and enhance AI models, unless you opt out through your account settings. Even if you opt out of training, Clark Labs Inc may still use your content to provide the Services to you; to comply with applicable law; to enforce these Terms; and to review content flagged for safety or policy violations. Feedback you voluntarily provide about the Services may be used without restriction or compensation.

Acceptable Use
You agree not to use the Services to violate any applicable law or regulation; infringe or misappropriate any third-party rights; generate content that is illegal, harmful, deceptive, or that facilitates violence, exploitation, or abuse; develop competing AI products, services, or models, or use the Services to train competing AI systems; reverse-engineer, decompile, or attempt to extract source code or underlying algorithms of the Services; scrape, crawl, or otherwise extract data from the Services except through provided interfaces; access the Services via automated means without prior written authorization; attempt to circumvent safety guardrails, filters, or usage limits; impersonate any person or misrepresent your affiliation; or use the Services to generate spam, phishing content, malware, or fraudulent materials.

Sandbox & Code Execution
Clark may execute code in isolated sandbox environments as part of fulfilling your requests. While these environments are designed to be isolated from your local systems, you are responsible for the instructions you provide and the code you direct Clark to execute. Clark Labs Inc disclaims liability for any unintended consequences arising from code execution performed at your direction.

Subscription & Payment
Paid subscriptions renew automatically until canceled. You must cancel at least 24 hours before the end of the current billing period to avoid charges for the next period. Price increases will be communicated at least 30 days in advance and apply to subsequent billing periods. Late payments may incur a finance charge of 1.5% per month on the outstanding balance. Clark Labs Inc reserves the right to suspend access for overdue accounts after reasonable notice.

Disclaimer of Warranties
The Services, Outputs, and all actions taken by the agent are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Clark Labs Inc and its affiliates, officers, directors, employees, and licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, title, and non-infringement. Clark Labs Inc does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that Outputs will be accurate, complete, or suitable for any purpose.

Limitation of Liability
To the maximum extent permitted by law, Clark Labs Inc and its affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, even if advised of the possibility of such damages. Clark Labs Inc's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of the amounts you paid to Clark Labs Inc in the six (6) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100).

Indemnification
You agree to indemnify, defend, and hold harmless Clark Labs Inc, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services; your breach of these Terms; your violation of any applicable law or third-party rights; any products or services you develop using the Services; any content you submit to or generate through the Services; or your actual or alleged fraud, intentional misconduct, gross negligence, or criminal acts.

Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through final and binding arbitration, rather than in court, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access. Arbitration shall be conducted by a single arbitrator under the rules of JAMS in San Francisco, California. You and Clark Labs Inc each waive the right to a jury trial and the right to participate in a class action, class arbitration, or other representative proceeding. You may opt out of this arbitration agreement by notifying us in writing at [email protected] within 30 days of first accepting these Terms.

Termination
You may close your account at any time. Clark Labs Inc may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is harmful to the Services, other users, or third parties. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnification, limitations of liability, and dispute resolution) will survive. Accounts inactive for more than twelve (12) months may be terminated after advance notice.

Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. To the extent litigation is permitted under these Terms, it shall be brought exclusively in the state or federal courts located in San Francisco, California, and you consent to personal jurisdiction in those courts.

Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice within the Services at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services and close your account.
